Welcome to VA Biz Growth ("Company," "we," "us," or "our"). By accessing or using our services, you ("Client," "you," or "your") agree to the following Terms and Conditions, which form a legally binding agreement. Please read them carefully.

1. Services Provided

VA Biz Growth provides a range of virtual assistant services, including but not limited to cold calling, administrative assistance, task management, project management, and other services as agreed upon between VA Biz Growth and the Client ("Services"). Services provided by VA Biz Growth are delivered "as-is" with no guarantees or warranties of any kind.

2. Payment Terms and Non-Refundability

All services must be prepaid in full before work commences. Payment methods include hourly and monthly options. No refunds will be issued under any circumstances, including, but not limited to, dissatisfaction with the services provided or failure to use the services purchased. In the event of non-payment, VA Biz Growth reserves the right to suspend services until all outstanding balances are settled.

3. Termination of Services

We reserve the right to terminate services at any time, with or without cause, and without prior notice, if we determine that the Client has breached any terms or conditions or if the Client's behavior is deemed detrimental to the working relationship or operational requirements. Clients may terminate the agreement at any time by providing written notice to VA Biz Growth. No refunds will be issued for unused hours or pre-paid services if the Client terminates the agreement.

4. Client Responsibilities

The Client agrees to provide all necessary materials, data, and access required to perform services. Failure to provide such resources in a timely manner may lead to delays or inability to perform services, for which VA Biz Growth assumes no responsibility. The Client is responsible for verifying the accuracy of any information or instructions provided. VA Biz Growth is not responsible for any errors, omissions, or consequences that arise from following Client-provided instructions.

5. Confidentiality and Data Security

We take reasonable precautions to protect Client confidentiality; however, we make no guarantees regarding the security of data transmitted electronically or stored on our systems. The Client agrees that VA Biz Growth shall not be liable for any unauthorized access, loss, or theft of data. If confidentiality is a critical concern, the Client may request the execution of a Non-Disclosure Agreement (NDA) prior to the commencement of services.

6. Limitation of Liability

To the maximum extent permitted by law, VA Biz Growth, its officers, directors, employees, agents, affiliates, and subcontractors shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of revenue, profits, goodwill, data, or business interruption, arising out of or in connection with the use or performance of services, even if advised of the possibility of such damages.

Total Liability

In no event shall VA Biz Growth's total liability to the Client for any damages, losses, or causes of action exceed the total amount of fees paid by the Client for the specific service in question.

7. Indemnification

The Client agrees to indemnify, defend, and hold harmless VA Biz Growth, its officers, directors, employees, affiliates, agents, subcontractors, and representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

The Client’s use of the Services;Breach of any of these Terms and Conditions;Violation of applicable law or the rights of any third party;Any third-party claims arising from actions or omissions taken in the performance of services.

8. No Warranty or Guarantees

VA Biz Growth makes no representations or warranties of any kind, whether express or implied, including, but not limited to, warranties of fitness for a particular purpose, merchantability, or non-infringement. Services are provided "as-is," and the Client assumes all risks associated with the use of the Services.

9. Force Majeure

VA Biz Growth shall not be held responsible for delays, failures, or interruptions in performance due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, governmental action, war, terrorist activities, pandemics, power outages, equipment failures, or other events beyond our control.

10. Intellectual Property

Unless otherwise agreed in writing, all work products, deliverables, or materials created by VA Biz Growth during the provision of services shall become the property of the Client upon full payment of fees. VA Biz Growth retains the right to use any templates, processes, methodologies, and intellectual property developed independently of the Client. Any intellectual property shared with VA Biz Growth by the Client for the purposes of providing services remains the property of the Client.

11. Third-Party Services and Subcontracting

VA Biz Growth reserves the right to use affiliates, subcontractors, or third-party service providers to fulfill service obligations. We make no representations or warranties concerning the work of these third parties. The Client agrees that VA Biz Growth is not liable for any issues or damages arising from third-party services.

12. Dispute Resolution

In the event of a dispute arising out of or related to this agreement, the parties agree to first attempt to resolve the issue through informal negotiation. If the dispute cannot be resolved, it shall be submitted to binding arbitration in Minnesota in accordance with the rules of the American Arbitration Association. The parties agree that any dispute resolution will be conducted on an individual basis and not as part of a class or representative action.

13. Governing Law and Jurisdiction

These Terms and Conditions, and any dispute arising out of or related to them, shall be governed by and construed in accordance with the laws of the State of Minnesota , without regard to its conflict of law principles.

14. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

15. No Waiver

Failure by VA Biz Growth to enforce any provision of these Terms and Conditions shall not constitute a waiver of the right to later enforce that provision or any other provision.

16. Entire Agreement

These Terms and Conditions, together with any written agreements or service contracts, constitute the entire agreement between the Client and VA Biz Growth regarding the provision of services and supersede any prior agreements, understandings, or representations.

17. Modifications

VA Biz Growth reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website. Continued use of our services after the posting of changes constitutes acceptance of those changes.
